General Questions

What should suppliers know about the announced Paramount–Warner Bros. transaction?

Warner Bros. Discovery ("WBD") and Paramount Skydance (“Paramount”) have entered into an agreement under which WBD will be acquired in full by Paramount . Please see the press release for full details (Link below).  Warner Bros. Discovery and Paramount will continue to operate as separate, independent companies until the transaction closes.

Who should we contact for questions and/or more information for the transition?

Suppliers should continue to work with their existing Warner Bros. Discovery points of contact, including Procurement, Finance, and Legal representatives.

If changes affecting suppliers occur as the transaction progresses, Warner Bros. Discovery will provide formal communications and updated points of contact, as appropriate.

Will there be any change to the scope of services provided due to the transition?

At this time, no immediate changes are expected to the scope of services provided by suppliers as a result of the proposed transaction.

If any changes to service scope, volumes, or requirements are identified in the future, such changes will be communicated directly to affected suppliers through established and approved channels.

 

Purchase Order and Invoice Questions

I have an existing Purchase Order that I am filling with WBD. What will happen to this purchase order?

All valid Warner Bros. Discovery purchase orders remain in effect and should be fulfilled in accordance with their current terms.
Suppliers should continue to reference the existing purchase order and bill the Warner Brothers Discovery legal entity identified on the purchase order document unless otherwise instructed in writing.

Will there be changes to how I invoice or receive payment?

At this time, there are no changes to Warner Bros. Discovery’s invoicing or payment processes. Suppliers should continue to submit invoices and receive payment using existing methods, banking details, and payment timelines, in accordance with current contractual terms.

If any changes to invoicing or payment processes are required in the future, such changes will be communicated in advance through approved channels.

 

Supplier Set-up Questions

Will any supplier facing systems, tools, or platforms change?

At this time, no immediate changes are planned to supplier‑facing systems, tools, or platforms, including procurement portals and invoicing systems.

If changes to supplier‑facing systems are required in the future as a result of integration planning, Warner Bros. Discovery will provide advance notice, along with applicable training materials and transition support, through approved channels.

 

Contracts Questions

Will my current contract still be valid? What impact does the proposed acquisition have on my contract?

Yes. All existing Warner Bros. Discovery contracts remain valid and enforceable in accordance with their terms.

At this time, no immediate changes are anticipated to how Warner Bros. Discovery manages or administers its supplier contracts as a result of the proposed acquisition. Warner Bros. Discovery will continue to administer contracts in accordance with existing contractual terms and legal entity structures.

Any potential future changes related to contract consolidation, alignment, or standardization, if any, would be evaluated following transaction close and communicated directly to affected suppliers through approved channels.

I am actively negotiating with WBD on a contract. What will happen to this negotiation?

At this time, active contract negotiations may continue as planned. Suppliers will be notified directly if any changes are required as a result of the proposed transaction

Should suppliers expect changes to contracting strategy, preferred supplier programs, or sourcing decisions after the transaction closes?

Until the transaction closes, Warner Bros. Discovery and Paramount will continue to operate as separate, independent companies, each maintaining its own sourcing strategies, procurement decisions, and supplier programs.

Following transaction close, Warner Bros. Discovery may evaluate potential opportunities to align certain procurement considerations; however, no changes to preferred supplier status, sourcing decisions, or existing commercial relationships are being made at this time. Any changes that may impact suppliers, if and when applicable, will be communicated directly through approved channels.
