General Questions

What are the general details that I need to know about the recently announced (Warner Bros. Discovery) WBD divestiture transaction?

WBD has announced its intent to separate its Studios & Streaming business (to be named Warner Bros.) from its Global Networks business (to be named Discovery Global). As mentioned in our public press release, we are in the process of completing a corporate separation that will result in the creation of two independent, publicly traded companies: Discovery Global and Warner Bros. This strategic move is designed to sharpen our focus and better serve our customers.

Who should we contact for questions and/or more information during the transition?

Will there be any change to the scope of services provided after the transition?

Future scope of services are under evaluation. We will share additional details about any impacted service or product requirement as that information becomes available.

 

Purchase Order and Invoice Questions

I have an existing Purchase Order that I am filling with WBD. What will happen to this purchase order?

Until the separation completion transaction close date, business will proceed as normal, unless specifically communicated. Should any updates be required, we will provide advance notice and clear instructions.

Will there be changes to how I invoice or receive payment?

Please continue current practices. Should any updates be required, we will provide advance notice and clear instructions.

 

Supplier Set-up Questions

Will any supplier facing systems, tools, or platforms change?

No immediate changes are planned. If any systems are being retired or replatformed, you will be notified with clear instructions and support timelines.

How will I set up accounts with the new entities?

WBD Procurement will provide instructions for establishing accounts with Discovery Global, Warner Bros., or both, as needed.

 

Contracts Questions

Will my current contract still be valid?

The majority of existing contracts will remain in effect following the separation. If your contract requires assignment or amendment, further communication from your specific WBD Procurement contact will follow.

What happens if I serve parts of the business that will be split between Discovery Global and Warner Bros.?

If your contract currently serves both Warner Bros. and Discovery Global, the contract may need to be split or duplicated - to be determined on a case-by-case basis. Further communication from your specific WBD Procurement contact will follow if changes are required for your contract.

Why is contract separation required?

After the separation is complete, WBD will become two totally separate companies: Discovery Global and Warner Bros. As such, legally binding contracts cannot be shared across the two entities for legal compliance reasons.

Will all contracts need to be separated ?

Not necessarily. Some contracts may remain with one entity; while others may be reassigned to a different entity. Further communication from your specific WBD Procurement contact will follow if changes are required for your contract.

Can I request changes to the terms of my contract?

Not necessarily. Some contracts may remain with one entity; while others may need to be replicated or may be assigned to a different entity. Further communication from your specific WBD Procurement contact will follow if changes are required for your contract.

I am actively negotiating with WBD on a contract. What will happen to this negotiation?

For on-going or upcoming renewals or negotiations, please continue to work with your WBD Procurement contact. Unless specifically instructed, no changes are expected to your renewal or contracting process.

Will the approach to contract separation vary across suppliers based on the type of product/service that a supplier provides?

Some suppliers, for example specific IT suppliers, may need to be expedited through the process as part of the separation plan. The WBD Procurement team will reach out directly to suppliers that will need an expedited contract separation plan.
