Samuel A. Di Piazza, Jr. became Board Chair of Warner Bros. Discovery in 2022 when AT&T’s WarnerMedia business (“WarnerMedia”) was combined with Discovery. Mr. Di Piazza served as Global Chief Executive Officer of PricewaterhouseCoopers International Limited from 2002 until his retirement in 2009. He began his 36-year career with PricewaterhouseCoopers (“PwC,” formerly Coopers & Lybrand) in 1973 and held numerous senior leadership roles with PwC during that time. After his retirement from PwC, Mr. Di Piazza joined Citigroup, where he served as Vice Chairman of the Global Corporate and Investment Bank from 2011 until 2014. He later served on the AT&T board from 2015 until 2022. Mr. Di Piazza also served as a director of ProAssurance Corporation from 2016 until June 2026.

Mr. Di Piazza's term will expire at the 2027 annual meeting of stockholders.
