|
Comparison of the rules of corporate governance developed by the New York Stock Exchange and Wimm-Bill-Dann’s corporate governance practices.
We are committed to the principles of transparency and good corporate governance. Our efforts have been well received by the wider international investment community. Wimm-Bill-Dann Foods has been assigned Standard & Poor's corporate governance score (CGS) of 7+ or 7.7 according to the Russian scale out of maximum 10, increasing from 7/7.3. The overall CGS on WBD is the result of four component scores on global and Russia national scales of 1 (low) to 10 (high).
- Ownership structure and external influences – 7+/7.8
- Shareholder rights and stakeholder relations - 7+/7.5
- Transparency, disclosure, and audit - 8/8
- Board structure and effectiveness – 7+/7.7
According to S&P, WBD’s key corporate governance strengths include: high level of shareholder structure transparency; commitment to the best practices of good corporate governance and statements of the Corporate Governance Code, adopted by the Board of Directors; independent directors forming the majority in the Board of Directors; effective Committees of the Board of Directors; openness to the investment community along with a high degree of financial and operational transparency; and the existence of effective oversight mechanisms for the internal and external audit process.
